Terms & Conditions

These Terms & Conditions (the “Terms”) govern the use of the site basea.io and the services offered by Basea (“Basea”), operated by Juan Andrés Williams. By using the site or contracting our services, you accept these Terms.

1. Services

Basea is a software development house that offers the design, development, implementation and maintenance of custom systems, as well as the generation of prototypes with artificial intelligence. The specific scope of each project is defined in a separate proposal or contract.

2. Free prototypes

The “Create your free prototype” tool generates non-functional demonstrations for illustrative purposes. A prototype is not a finished system: it does not include a database, integrations, production-grade security or any guarantee of accuracy. Its sole purpose is to visualize an idea. The actual implementation of a system is a professional service contracted separately.

3. Engagement model

Unless otherwise agreed in writing, our projects are charged under the following scheme:

• A one-time implementation fee for the development and launch.
• A fixed, recurring maintenance fee (monthly, quarterly, semiannual or annual).
• The first 3 months of maintenance after delivery are included; from then on the recurring fee applies.

Prices, payment methods and specific conditions are set out in the proposal accepted by the client. Failure to pay for maintenance may suspend support and system updates.

4. Client obligations

• Provide truthful, complete and timely information for the development.
• Hold the licenses, permits and rights over the content and data it contributes.
• Use the systems in accordance with the law and these Terms.

5. Intellectual property

Once the corresponding payment is made, the client receives a license to use the developed system for its operation. Basea retains ownership of its components, libraries, frameworks, know-how and reusable proprietary tools, as well as of its products (including Vendilo and Kavall).

6. Third-party services and artificial intelligence

Our systems may integrate third-party services (cloud, AI models, payment gateways, messaging). Such services are governed by their own terms, and their availability and results do not depend on Basea. Results generated by AI may contain inaccuracies and must be reviewed by the client.

7. Limitation of liability

The use of the systems and their operation in the client's business is governed by the Disclaimer, which is an integral part of these Terms.

8. Amendments and governing law

Basea may amend these Terms by publishing the updated version on the site. These Terms are governed by the laws of the United Mexican States. For any dispute, the parties submit to the competent courts of the State of Nuevo León, waiving any other jurisdiction.
